Terms of Service

1. Acceptance
Using Shady Notes means you accept these terms; if you don't, don't use it.

2. The Subscription
Personal and Supporter are recurring subscriptions billed via Clerk Billing, with Stripe as the payment processor (Round Rect is the seller of record); trial periods, renewal cadence, and price-change notice live here.

3. License grant
We grant you a non-exclusive, non-transferable license to install and run Shady Notes on Macs you own or control during your subscription period.

4. Activation delivery
On successful payment Stripe emails a receipt to the checkout address; premium unlocks when you sign in from the app — there's no licence key to lose. Account or sign-in trouble: hello@shadynotes.app.

5. Refund
We'll refund any payment within 14 days of first charge for any reason; refunds are processed through Stripe and take a few business days to return to your card.

6. Your files
Your notes are plain markdown files on your own device. They are yours; these terms claim no rights over them, and cancelling never affects them.

7. Acceptable use
Don't use Shady Notes to do illegal things, don't break the app on purpose, don't resell it.

8. Termination
You can cancel any time; we can terminate for breach with notice; on termination your active period continues to its end. Your notes remain plain files on your disk regardless.

9. Warranties, liability, governing law
Software-as-is, our liability is capped at fees paid in the trailing 12 months; governing law is New South Wales / Australia (ROUNDRECT PTY LTD) unless counsel says otherwise.
